Role Description
The Senior Legal Counsel will be responsible for handling legal issues, contract negotiation, legal document preparation, providing legal advice, and ensuring compliance with regulations.
Responsibilities
Provide Strategic Legal Advice
Provide strategic legal advice in our asset management operations with a primary focus on our investment funds, primarly across the UK, Spain, Luxembourg. Offer timely and insightful guidance on regulatory compliance, fund formation and transactional matters.
Drafting and Negotiating Legal Documents
Prepare, review, and negotiate a broad array of legal agreements and contracts, fund formation documents, partnership agreements, and cross-border transactional contracts. Engage closely with internal stakeholders, including investment, risk management, and compliance teams, to ensure legal documents accurately reflect our strategic objectives and risk parameters.
Managing External Counsel
Oversee and coordinate external legal advisors on an ad hoc basis for specialized transactions. Evaluate counsel performance with respect to cost, quality, and responsiveness, ensuring that external advice aligns with our firm’s standards of excellence.
Legal Training and Support for New Initiatives
Provide legal training and support on innovative products and initiatives, ensuring that new offerings and market strategies are underpinned by sound legal frameworks. Proactively advise on emerging regulatory requirements and assist in the implementation of necessary legal reforms.
Regulatory Monitoring and Risk Management
Keep abreast of evolving legal and regulatory developments across multiple jurisdictions. Identify, assess, and mitigate legal risks, ensuring robust internal reporting and compliance protocols that protect the firm’s interests.
Cross-Regional Collaboration
Collaborate with legal teams across our global network to share best practices, harmonize policies, and ensure consistency in legal advice across all jurisdictions where Astant Global Management LP operates.
Skills and Experience
Minimum 3+ Years PQE:
* Proven experience working in a top-tier law firm is essential; experience within a financial institution or asset management environment is highly desirable.
Transactional Expertise:
* Demonstrated proficiency in advising, negotiating, and drafting complex legal documents related to fund formation, hedge fund structures, and cross-border transactions.
Regulatory Knowledge:
* In-depth understanding of financial regulations impacting asset management, including familiarity with applicable securities laws, compliance standards, and emerging regulatory trends in key markets.
Commercial Acumen:
* Strong ability to understand and evaluate business requirements, aligning legal strategies with the firm’s overall commercial objectives. Ability to manage legal risk effectively through a pragmatic, business-focused approach.
Teamwork and Autonomy:
* Capable of thriving in a collaborative team environment while also managing your own workload independently. Excellent communication and interpersonal skills are critical for effective stakeholder engagement.
Legal Qualification:
* Must be English law qualified (or qualified in a recognized Commonwealth jurisdiction), with admission to practice in relevant jurisdictions.
* Proven track record advising on asset management transactions, including experience with fund formation, private equity, and hedge fund agreements. Familiarity with industry-standard documentation and regulatory frameworks is required.
* Experience in dealing with both bilateral and syndicated transactions within the asset management or alternative investment sectors is an advantage.
