Legal Counsel role description
Velto Renewables (Velto), a subsidiary of CDPQ (Caisse de dépôt et placement du Québec), is looking for a Legal Counsel to join its team in Madrid, Spain
Velto Renewables is an investor, investments manager and long-term owner of renewable energy projects. Established in 2020 and backed by global investment group CDPQ, Velto Renewables is committed to contributing to the decarbonization of the global economy by investing in and developing an international and multi-technology portfolio of renewable energy projects. Velto currently owns 218 MW of operating solar PV projects in Spain, manages a 25% investment in a 630 MW offshore wind farm in the United Kingdom, develops a 1+GW of greenfield projects in Iberia, and is seeking to grow its portfolio by becoming a local player in the countries and regions where it invests.
Reporting directly to the Head of Legal, the Legal Counsel support and contribute to Velto’s legal activities, specifically corporate matters, asset management, operations, development, M&A, regulatory affairs and litigation.
Responsibilities
* Provide comprehensive advice on legal corporate matters, such as, but not limited to: review of services provider contracts, review of corporate contracts, corporate secretarial support, and general legal advice to the Velto team.
* Support Velto’s group in corporate matters.
* Assist in advising on the legal aspects of the asset management activities of the solar and wind portfolio including but not limited to: corporate matters related to Velto’s subsidiaries, drafting and review of operational contracts (O&M, land leases, service providers) and corporate re-structuring transactions
* Contribute to managing the legal matters and support the overall liaison with lenders on existing financing agreements as well as structuring new agreements with lenders.
* Support the legal aspects of Velto’s development activities, such as drafting, reviewing, and negotiating contracts for land leases, service providers, etc.
* Assist in providing legal advice on the development permitting process including activities such as submission dossiers reviews, addressing request from regulators and stakeholders etc.
* Support legal activities related to structuring projects, including but not limited to drafting and reviewing PPAs, EPC contracts, operation and maintenance contracts, etc.
* Assist in drafting, reviewing, negotiating, executing and managing contracts related to Velto’s business partnerships.
* Support in overseeing company and subsidiaries (SPVs) contracts to ensure and understanding of the respective obligations of the parties.
* Contribute to maintaining relationships with stakeholders from the legal perspective.
* Assist in coordinating and managing the relationship with external law firms advising Velto on its activities.
* Support in providing legal advice on regulatory matters affecting Velto’s activities.
* Support HSE activities and monitor the legal implications.
* Support in managing potential claims or legal processes related to Velto’s contracts.
* Assist in liasing with public authorities, notaries, chamber of commerce, and the commercial register
Requirements. Education and experience
* Bachelor’s and-or Master’s degree in Law;
* Excellent command of written and spoken English and Spanish, desirable knowledge of French and Portuguese;
* 4-7 years of experience as a qualified lawyer, with a focus on commercial law/ contract law and with significant experience working with or for companies on infrastructure projects;
* 2+ years of relevant experience within the infrastructure industry, ideally within the renewable energy industry;
* Desirable experience working with companies that own solar PV regulated assets in Spain;
* Desirable experience working with companies that own wind assets.
